THE STORY
Helping an engaged board turn good intentions into clearer governance.
A longstanding nonprofit recognized that its board needed help strengthening its governance practices. Board members wanted to contribute, but there were different ideas about what their responsibilities should include and how the board should work together.
Warren Whitney designed an engagement that combined assessment, training, discussion, and action planning. The process gave the board a clearer understanding of its role and helped members agree on practical steps to improve governance.
The Situation
The organization had an engaged board, but members did not share a consistent understanding of their responsibilities. That made it harder to align around priorities, support the executive director, and govern the organization effectively.
The board needed a structured process that would help members assess current practices, understand nonprofit governance best practices, and work through issues specific to the organization.
Key needs included:
• Clarify board member roles and responsibilities
• Strengthen governance practices
• Improve the partnership between the board and the executive director
• Build a stronger approach to board member cultivation
• Create alignment around strategic planning
• Identify practical next steps the board could act on
Warren Whitney’s Role
Combining board assessment, governance training, and facilitated planning.
Warren Whitney built the engagement around a board self-assessment. The findings shaped a day-and-a-half board session that combined governance training with facilitated discussion and consulting.
We reviewed the organization’s bylaws and recent meeting minutes, spoke with the executive director and several board members, and designed a survey based on governance best practices and the organization’s specific challenges.
The retreat then gave board members time to learn, discuss, and make decisions together.
Our Value
Clearer expectations and practical steps the board could act on.
